Terms of Service

PM Manifest is a cloud-based project management platform designed for professional services and consulting organizations. The Service includes project and task management, time tracking and timesheet workflows, client portals, accounting software integrations (including QuickBooks Online), AI-powered project intelligence features, and related functionality.

The Service is provided on a subscription basis. Features available to you depend on the subscription plan provisioned for your organization.

Access to the Service is provisioned by the Company on a per-organization basis. Each organization is assigned an account administered by one or more designated administrators (“Administrators”). Administrators are responsible for managing user access within their organization, including inviting, deactivating, and assigning roles to users.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@pm-manifest.com if you suspect unauthorized access to your account.

You must provide accurate and complete information when your account is provisioned. You may not share your credentials with any other person or use another user’s credentials.

4.1 Subscription Plans

The Service is offered under the following plans, subject to change with notice:

• Pro: Per-seat monthly subscription at $39.00 per seat per month. Minimum 5 seats, maximum 25 seats. Includes core project management, time tracking, client portal, accounting integrations, invoicing, and AI features including health score explanations, AI help chat, and AI Project Planner. Includes a monthly AI usage credit; usage above the included credit is billed at the applicable overage rate.
• Enterprise: Custom pricing set by the Company based on your organization’s requirements. Minimum 10 seats. Includes all Pro features plus AI project summaries, natural language project queries, predictive alerts, and automated status report drafts. AI usage is billed on a per-request basis at a rate set at provisioning. Organizations on Pro plans that exceed 25 active seats will be transitioned to Enterprise.

4.2 Seat-Based Pricing

A “seat” is defined as one active internal user account within your organization. Deactivated users do not count toward your seat total. Client portal users are not counted as seats and are not separately billed.

Your subscription is provisioned for a set number of seats. You may not exceed your provisioned seat count without contacting the Company to adjust your subscription. Seat counts and plan transitions are managed by the Company.

4.3 AI Usage Billing

AI features are available on Pro and Enterprise plans. Pro and Enterprise plans include configurable AI usage billing. Organizations may select a monthly cap or on-demand billing based on their needs. AI usage billing activates at the start of your next billing cycle following provisioning. Usage is tracked and reported in your account’s admin panel.

4.4 Billing Cycle and Invoicing

Your billing start date is set by the Company when your account is provisioned. Subscriptions renew monthly on your billing cycle start date. Subscriptions are billed in advance. Invoices are generated at the start of each monthly billing cycle and cover the upcoming billing period plus any applicable AI usage overages. New accounts include a 14-day free trial. At the end of the trial period, a prorated invoice is issued covering the remainder of the first billing cycle, after which full monthly invoices are generated in advance on your billing cycle date.

4.5 Payment

Payment terms are established at provisioning. Failure to pay invoices within the applicable payment period may result in suspension of your account. We reserve the right to charge interest on overdue balances at the maximum rate permitted by applicable law.

4.6 Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your use of the Service, excluding taxes on the Company’s net income.

4.7 No Refunds

All subscription fees are non-refundable except as required by applicable law or as expressly agreed in writing by the Company. If you cancel mid-cycle, your access continues through the end of the current billing period.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights;
• Upload or transmit any content that is unlawful, harmful, defamatory, or fraudulent;
• Attempt to gain unauthorized access to any part of the Service or to any other systems or networks connected to the Service;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
• Use automated means (bots, scrapers, crawlers) to access the Service without our express written permission;
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure;
• Use the Service to store or transmit malicious code, viruses, or any software designed to damage or impair systems;
• Resell, sublicense, or otherwise make the Service available to any third party without our express written consent.

We reserve the right to suspend or terminate access for violations of this section without prior notice.

6.1 Your Data

You retain all ownership rights to the data, content, and information you submit to the Service (“Customer Data”). You grant the Company a limited, non-exclusive, worldwide license to process, store, and transmit Customer Data solely as necessary to provide the Service to you.

6.2 Data Isolation

The Service uses row-level security and multi-tenant isolation to ensure your Customer Data is not accessible to other organizations using the Service.

6.3 Third-Party Integrations

When you connect third-party services (such as QuickBooks Online) to the Service, you authorize the Company to access, retrieve, and synchronize data from those services on your behalf. Your use of third-party services is governed by the applicable third-party terms and privacy policies. The Company is not responsible for the practices of third-party services.

6.4 Aggregate and Anonymized Data

We may use aggregated, de-identified data derived from your use of the Service for product improvement, analytics, and benchmarking purposes. Such data will not identify you or your organization.

The Service includes AI-powered features such as project summary generation, health scoring, predictive alerts, and automated status report drafts (collectively, “AI Features”). AI Features are powered by third-party AI providers, including Anthropic.

AI-generated outputs are provided as drafts for human review and are not guaranteed to be accurate, complete, or suitable for any particular purpose. You are solely responsible for reviewing, validating, and deciding whether to use any AI-generated content before sharing it with clients or third parties.

You agree not to use AI Features to generate content that is deceptive, harmful, or in violation of any applicable law or third-party rights.

Each party may have access to information that is confidential to the other party (“Confidential Information”). Each party agrees to hold the other’s Confidential Information in strict confidence, not to disclose it to third parties without prior written consent, and to use it only as necessary to fulfill obligations under these Terms.

Customer Data is your Confidential Information. Our pricing, technical architecture, and non-public product details are our Confidential Information. Obligations of confidentiality survive termination of these Terms for a period of three (3) years.

We implement reasonable technical and organizational security measures to protect Customer Data, including encryption at rest and in transit, access controls, and regular security monitoring. However, no method of transmission over the internet or electronic storage is completely secure.

You are responsible for maintaining the security of your organization’s user accounts, including enforcing strong passwords and promptly deactivating users who no longer require access.

The Service, including its software, design, features, and all related intellectual property, is and remains the exclusive property of Bayceline Enterprises LLC. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as described herein.

You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer or attempt to extract the source code of the Service, except as expressly permitted by applicable law.

11.1 Term

These Terms are effective from the date your account is provisioned and continue until your subscription is terminated.

11.2 Termination by You

You may terminate your subscription by contacting the Company at support@pm-manifest.com. Cancellation takes effect at the end of your current paid billing period. Because subscriptions are billed in advance, no refunds are issued. You will retain full access through the end of the period you have already paid for.

11.3 Termination by Us

We may suspend or terminate your account immediately if: (a) you materially breach these Terms and fail to cure such breach within 10 days of notice; (b) you fail to pay any amounts due; (c) you engage in activity that poses a security risk to the Service or other users; or (d) we are required to do so by law.

11.4 Effect of Termination

Upon termination, your right to access the Service ceases. We will retain your Customer Data for a period of 30 days following termination, during which you may request a data export. After 30 days, Customer Data will be permanently deleted from our systems. Sections 4, 6, 8, 10, 12, 13, and 14 survive termination.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY AI-GENERATED CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAYCELINE ENTERPRISES LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless Bayceline Enterprises LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of the Service in violation of these Terms; (b) your Customer Data; (c) your violation of any applicable law or third-party rights; or (d) any dispute between you and a third party arising from your use of the Service.

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties for a period of 30 days. If the dispute is not resolved through negotiation, it shall be resolved by binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and notify active subscribers by email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may terminate your subscription as described in Section 11.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment. You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

Force Majeure. Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control.
