Terms of Service

Bayceline Enterprises LLC operates PM Manifest, a cloud-based project management platform for professional services and consulting organizations. The Site provides information about PM Manifest, including product details and pricing, and allows visitors to request access to or subscribe for the Service.

Use of the Service itself is provided on a subscription basis under a separate agreement and is not described in detail on the Site.

You agree not to use the Site to:

• Violate any applicable law, regulation, or third-party rights;
• Upload or transmit any content that is unlawful, harmful, defamatory, or fraudulent;
• Attempt to gain unauthorized access to any part of the Site or to any other systems or networks connected to the Site;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Site;
• Use automated means (bots, scrapers, crawlers) to access the Site without our express written permission;
• Interfere with or disrupt the integrity or performance of the Site or its underlying infrastructure;
• Use the Site to store or transmit malicious code, viruses, or any software designed to damage or impair systems.

We reserve the right to suspend or terminate access for violations of this section without prior notice.

The Site, including its design, text, graphics, logos, and all other content, is and remains the exclusive property of Bayceline Enterprises LLC. Nothing in these Terms grants you any right, title, or interest in the Site beyond the limited right to use it as described herein.

You may not copy, modify, distribute, sell, or lease any part of the Site, or reverse engineer or attempt to extract the source code of the Site, except as expressly permitted by applicable law.

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAYCELINE ENTERPRISES LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless Bayceline Enterprises LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of the Site in violation of these Terms; (b) your violation of any applicable law or third-party rights; or (c) any dispute between you and a third party arising from your use of the Site.

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Site shall first be subject to good-faith negotiation between the parties for a period of 30 days. If the dispute is not resolved through negotiation, it shall be resolved by binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Your continued use of the Site after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Site.

Entire Agreement. These Terms, together with our website Privacy Policy, constitute the entire agreement between you and the Company regarding your use of the Site, and supersede all prior agreements regarding the Site. These Terms do not govern your use of the PM Manifest Service, which is addressed separately by our Subscriber Agreement and Product Privacy Policy.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment. You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

Force Majeure. Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control.
